LEGAL / DRAFT FOR REVIEW

Terms & Conditions

Prepared for the new HRL website. These terms remain subject to HRL and Indian legal review before they take effect.

These terms govern the use of the HRL Cargo website, enquiries and approved digital services. Cargo bookings are also subject to our Terms of Carriage and the terms disclosed and agreed for the particular booking.

Draft for HRL and Indian legal review. This version is prepared for the new website and is not an operative contract. Resolve the marked items and reconcile these terms with the LR and signed customer agreements before publication. Effective date: to be approved.

1. Who we are

The website represents HRL Cargo, referred to as “HRL”, “we” or “us”. The customer or authorised representative using our services is referred to as “you”. Our legal name is recorded in the supplied documents as HRL Cargo / M/s HRL Cargo. The precise current contracting entity description must be confirmed before these terms take effect.

Business address for legal correspondence: 46, Opposite JNCT College, Berasia Road, Lambakheda, Bhopal, Madhya Pradesh 462038 — current address to be confirmed. Contact: connect@hrlcargo.com; telephone +91 78800 03224.

2. Services and availability

HRL provides road-based Door-to-Door Cargo, Pickup Services and Godown-to-Godown Cargo, subject to serviceability, cargo suitability and booking confirmation. Carrying & Forwarding Agent (CFA) services for Madhya Pradesh are agreed separately and may include storage, inventory management, order processing, dispatch, invoicing and payment collections. Website descriptions are an invitation to enquire, not an unconditional promise to accept any cargo or serve every location.

HRL does not offer customs brokerage (CHA) or ocean shipping. CFA on this website means Carrying & Forwarding Agent services, not customs clearance. Vehicles may be attached or operated by service partners; illustrations do not represent ownership of a vehicle fleet.

3. Authority and acceptance

You must have legal capacity to enter a contract and authority to act for the business, consignor, consignee or other party you represent. Information about services can be read without making a booking. Contractual booking terms must be provided before acceptance and recorded in the booking confirmation, goods forwarding note, LR or other agreed record. Using a contact form or browsing the website alone does not constitute acceptance of an undisclosed shipment contract.

4. Enquiries, estimates and booking formation

A request for a quote, pickup, callback, CFA discussion or API access is an enquiry until HRL confirms acceptance. An automated acknowledgement confirms receipt of the request only. A quote must identify its scope, validity, charges and assumptions; it does not guarantee capacity or a delivery date unless expressly confirmed. Changes to the declared cargo, weight, dimensions, route, access conditions or requested service may require a revised quote and your agreement.

5. Prices, taxes and reverse charge

Freight, pickup, handling, delivery, storage, waiting and other charges must be disclosed in the quote, rate agreement or booking record as applicable. Additional work or charges should be explained and agreed before being incurred where reasonably practicable; statutory charges and necessary emergency costs are dealt with under applicable law and the booking contract.

HRL has confirmed that it operates under the reverse charge mechanism (RCM) for applicable freight supplies. Where GST law places liability on the recipient, the recipient must discharge that liability and the invoice must reflect the applicable treatment. RCM is not a blanket statement for every service, customer or invoice. CFA, storage, handling, invoicing and collection services require their own classification and tax assessment, including any legally applicable composite-supply treatment. No fixed tax rate or exemption is promised by this website.

A Transporter ID / TRANSIN is not described as a GSTIN merely because it has a similar format. Relevant registrations and invoice particulars must be confirmed by HRL’s accounts team.

6. Payment, cancellations and refunds

The party responsible for payment, credit period, due dates and any agreed interest must be stated in the relevant contract or invoice. Payment must be made only through HRL-confirmed channels. Raise an invoice query promptly with the invoice and LR reference; a query does not remove rights available under law.

Cancellation or rescheduling requests are considered according to the stage of the service, the accepted terms and reasonable costs actually incurred. We will identify the basis of any charge and any refund due. No universal non-refundable fee, cancellation percentage or refund timeline is introduced by these website terms. Applicable statutory refund and consumer rights remain unaffected.

7. Accurate information and lawful use

You must provide accurate company, contact, shipment and billing information, correct any material error, and have authority to share another person’s information. Do not submit false bookings, prohibited content, malicious files or unauthorised personal or commercial records. Do not impersonate another person, bypass access controls, probe for other customers’ records, interfere with services or misuse credentials.

8. Customer portal and records

Portal access is limited to approved users and authorised records. Protect credentials and notify HRL promptly about suspected misuse. Displayed shipment updates reflect the latest information available in the system; they are not necessarily continuous vehicle GPS positions. Report discrepancies through HRL’s support channel. Invoice, LR and proof-of-delivery corrections require the applicable authorised process. Electronic records remain subject to applicable law and evidence requirements.

9. API access requests

The API request form collects company name, contact person, email, mobile number, purpose and optional requirements. Submission does not create an API, grant access, or authorise financial or customer/vendor transactions. Availability, permitted functions, record-level access, authentication, rate limits, security, fees, service levels and any transaction-writing permissions must be agreed before credentials are issued.

Techquay is HRL’s IT team and Cygux Software runs and maintains the ERP, as confirmed by HRL. Technical coordination does not itself make either provider the contracting carrier. Approved integration terms must allocate responsibilities between the actual parties. Credentials must be shared securely and must never be placed in public webpages or enquiry forms.

10. CFA and agency arrangements

CFA enquiries require a written service agreement covering the principal, goods, storage location, territory, inventory and order controls, dispatch instructions, invoicing authority, collection limits, settlement and reconciliation, returns, insurance, fees, tax treatment, responsibilities, termination and stock handover. No authority to sell goods, extend credit, waive debts or receive payment on behalf of a principal arises merely from this website. Applicable transport obligations continue to apply to the carriage component.

11. Privacy and communications

Information submitted for an enquiry is used to respond and handle the requested service in accordance with the separate Privacy Notice and applicable law. Submission is not blanket consent to unrelated marketing or unrestricted sharing. Personal information must be accessed only for authorised purposes. The final Privacy Notice and relevant form notices must be published before live data collection; storage, processors, retention, rights and complaint channels must match the actual system.

12. Website content and intellectual property

HRL branding, original text, artwork and website content belong to HRL or their lawful owners or licensors. You may view the website and retain information reasonably required for using our services. Further reproduction or commercial reuse requires permission or another lawful basis. Content supplied by a customer remains subject to that party’s rights; HRL receives only the permissions needed to perform the agreed service and meet legal obligations.

13. Availability and external links

We aim to keep information accurate and services available, but maintenance, operational changes or technical incidents may affect access. A feature is not a guaranteed service level unless expressly agreed. External websites have their own operators and terms. Corrections to website information do not retrospectively change an accepted shipment contract or remove mandatory rights.

14. Responsibility and remedies

Responsibility for cargo is governed by the Terms of Carriage and applicable transport law, not a generic website disclaimer. Responsibility for CFA or digital services is determined by the applicable written agreement and law. Nothing in these terms excludes liability or remedies that cannot lawfully be excluded, requires a customer to indemnify HRL for HRL’s own unlawful conduct, or waives statutory consumer protections where applicable.

15. Complaints and disputes

Send complaints to connect@hrlcargo.com with the company name, LR/invoice reference, relevant dates and supporting details. Call +91 78800 03224 for assistance. Formal statutory notices must be served as required by law and at the confirmed address for service. An informal complaint does not extend statutory notice or limitation periods, nor does it prevent a party from exercising a lawful remedy.

Indian law governs these terms. Courts and statutory bodies with jurisdiction under applicable law remain competent. These website terms do not impose an unconfirmed exclusive court location or compulsory arbitration. Any separately agreed dispute mechanism remains subject to mandatory law and available statutory remedies.

16. Changes and interpretation

Approved updates will state their effective date and apply prospectively. Material changes to an existing contract require a valid contractual basis or agreement. Mandatory law prevails over inconsistent wording; the remaining provisions apply to the extent lawful. A waiver is effective only to the extent validly given and does not waive unrelated rights.
